Attending:     Pat Hoffman, Art Tanderup, Max Thacker, Linda Wagner, Shirley Schaal, Liz Hoffman

Art stated that the first order of business was to report on the election of officers via e-mail. The results are official and the slate of officers was approved by the voting membership. Pat Hoffman then took over the meeting.

Minutes were passed out to those attending. Max made a motion to approve the minutes, and Art Tanderup seconded the motion. The motion carried.

Max gave the treasurerŐs report stating that the current balance was $7909.45. A check is to be written to Art in the amount of $385.23 to cover travel, telephone and other expenses. This will leave a balance of $7523.22 in checking. There is also a CD with a current balance of $8246.46. This CD needs to be renewed on September 28, 2004. It is a nine-month certificate of deposit. A number of checks were refunded to the vendors from the cancelled conference. The only big bill was the USDLA dues of $1005. The registration checks were also returned with a note that indicates that they will continue to be members of NDLA. Liz Hoffman moved that the treasurerŐs report be accepted as presented. Art Tanderup seconded the motion . Motion was approved.

Vacancy Report It was reported that the on-line vote approved the addition of a business and industry representative to the NDLA Board of Directors. This position needs to be filled as well as the vacancy left by Jan SchartzŐs position change at Mid-Plains. The board currently has someone from the university system, the state college system and the community college system so the representative can come from any segment. Discussion ensued regarding suggested representatives. Max will contact Louis Colburn at UNMC to be an NDLA representative. Liz Hoffman will contact Bob Hayes at ESU 11 to be a K-12 representative.

Because Jan was president-elect, the board needed to come up with someone to fill the president-elect vacancy. Because the organization is looking for strong leadership and someone who has a vested interest in the continuation of distance learning, the board asked Shirley Schaal to consider taking this position. Shirley indicated that she was willing to add this duty to her many responsibilities. Max made a motion to approve Shirley Schaal as President-Elect; Art Tanderup provided a second. The motion was approved unaminously.

Conference Follow-Up Max already went through most of the expenditures. In addition, there is a charge of $2328.25 for the bags (250 were ordered). There are also 75 small bags that were left from two years ago. The board needs to look at how a personal connection can be made with the potential participants to ensure a good conference. It is necessary for this next conference to be a successful venture to ensure the future of the organization.

Dates for the 2005 conference were discussed. Even though Jan is no longer an NDLA Board Member, Mid Plains Community College is still willing to host the conference. The dates of May 31, to June 3, 2005 were adopted. The earlier dates may help ensure that the conference will be well attended. Special room rates have been set up at three North Platte hotels.

The make up of a conference committee was discussed. Shirley Schaal, Mary Linster, and Jan Schartz will be the on-site committee. After considerable discussion the group agreed that all members of the NDLA board would need to take an active part in the conference planning in order to make this a successful event. Linda will ask Peggy Duey at NET if she will be willing to assist with the registration process. In addition, John Horvath has offered to assist with conference planning.

Website Maintenance of the web site takes a great deal of time. Shirley will check on a student that worked with her this summer at the ESU that might be able to help her with the website responsibilities.

501©3 Shirley reports that the paperwork is done. Final approval is needed from the Secretary of StateŐs office. Then advertisements need to be run for three weeks. After that a certificate of incorporation will be issued.
